Corporate Records and Resolution Templates

Every corporation has to keep records the law prescribes: registers of directors, shareholders and share transfers, resolutions recording decisions, and in many jurisdictions a register of the individuals who ultimately control the company. Regulators, banks, auditors and buyers ask for these records, and missing or incomplete ones can delay financing, a sale or a government filing, or lead to fines.

The templates in this category follow a named jurisdiction's corporations statute and regulations. Each one includes the information the law requires, in the order an inspector or lawyer will expect to see it, with guidance notes that cite the rule behind each entry. Spreadsheet registers sort and total automatically, and resolutions include signature blocks laid out for consent in writing.

Keep completed records in the corporation's minute book at its records office, update them within the time limits the statute sets, and confirm with your lawyer or accountant that your records are complete before a financing or sale.
