Business Formation Templates
Filing the certificate of formation creates a company, but the internal agreement decides how it actually runs. Who owns what share, who makes decisions, how profits are split, what happens when a member leaves or dies and how the company is wound up are all set by the operating or company agreement, and where it is silent, the state's default statutory rules apply instead. Many owners only discover those default rules during a dispute.
The templates here are written to a named state's business organizations statute. Each one sets out ownership, capital contributions, management and voting, distributions, transfers of interest, buy-out terms and dissolution. Notes explain how each clause interacts with the statute, and shaded fields show what each owner needs to decide.
Every company is different. Read the whole agreement with all owners present, decide the open choices together, and have a business lawyer review it before signing, especially where owners contribute unequally or outside investors are involved.
